Largely, yes — with planning. Liquidation is document-heavy rather than presence-heavy, and most steps can be executed through a liquidator and powers of attorney:

  • The shareholders’ resolution to dissolve and the appointment of a liquidator can be passed by circular resolution and notarised documents signed abroad (with apostille/legalisation)
  • Creditor notices, ministry filings and licence revocations are handled by the liquidator
  • Routine tax filings during the wind-down proceed as normal through authorised signatories

The two friction points clients ask about specifically:

  • The tax office. Tax clearance is the long pole of any Indonesian liquidation, and tax officers conducting the final audit may request meetings or clarifications. Much of this can be handled by an authorised tax representative; whether a director must ever appear personally varies by tax office and case. Build in the possibility rather than assuming pure remote handling.
  • The bank. Closing the company’s account is governed by the bank’s own mandate rules. Some banks act on a properly-documented power of attorney or on the authority of one resident signatory; others insist on seeing a director. If both directors are abroad, check the bank’s requirements early — it is the step most likely to require either a visit or a mandate change.

Where the company has a resident director or professional officeholder, both friction points usually resolve without anyone flying in.

Realistic expectations: an orderly liquidation of a clean, dormant company is measured in months (the tax clearance dominating); a company with unfiled returns or disputes takes longer. Simply abandoning the company instead exposes directors to accumulating penalties and complicates future visas and ventures in Indonesia.
